The Daily Mail’s “Best Soccer Bars in New York City” competition (the “competition”) is open only to bars (“bars”) that regularly show soccer matches and that are located within one of the five boroughs of New York City. A bar must have an active and valid Facebook account to participate in the competition.

Only persons authorized to act on behalf of a bar may enter that bar into the competition. By entering, each authorized representative agrees, on behalf of themselves and the bar, to these official rules, which are a binding contract.

Only the first two hundred (200) eligible Bars that sign up may participate in the Competition. The winning Bar will be decided by a public vote. To vote for your favorite Bar, click on http://www.dailymailbestsoccerbar.com and follow the instructions. This Competition is in no way sponsored, endosed, or administered by, or associated with Facebook. You are providing you information to Daily Mail (“Sponsor”)

  1. VOTING PHASES: The two (2) voting phases (“Phases”) for this Competition are described below. Any votes received after the ending time for any Phase will considered invalid and will not be counted. There is a limit of one (1) vote per person per day during each of the two (2) Phases described below.
    1. Phase 1 – In Phase 1, consumers vote for their favorite soccer Bar in New York City (out of a list of possibilities could include up to 200 Bars). Phase 1 begins at 12:00:01 am Eastern Time (ET) on July 21, 2017 and ends at 11:59:59 pm on August 4, 2017. The ten (10) Bars that receive the most votes from consumers will be contacted via email by the Daily Mail (“Sponsor”) not more than twenty-four (24) hours after the end of Phase 1 and will proceed to Phase 2. The ten (10) Bars that receive the most votes from consumers during Phase 1 will be contacted via email by Sponsor within forty-eight (48) hours after the end of the Phase 1 voting period. Each Bar must respond to Sponsor’s email informing the Bar of its status within twenty-four (24) hours of its receipt of notification that it has been voted one of the top ten (10) Bars, giving Sponsor permission to film a short video (the “Promotional Video”) about the Bar. Filming will take place between August 7, 2017, and August 13, 2017. Each of the top ten (10) Bars will be required to post its Promotional Video on its Facebook page not more than forty-eight (48) hours after it is received from Sponsor. No Bar shall have no editorial rights with regard to a Promotional Video and may not publish the Promotional Video anywhere other than on its own Facebook Page without Sponsor’s prior written approval.
    2. Phase 2 – During Phase 2, consumers again vote for their favorite soccer Bar in New York City from the list of the top ten (10) Bars. Phase 2 begins at 12:00:01 am ET on August 21, 2017 and ends at 11:59:59 pm on September 4,2017. At the end of Phase 2, the four (4) soccer Bars that receive the most votes from consumers will be contacted via email by the Daily Mail (the “Sponsor”) as soon as practicable after the end of Phase 2.

    Sponsor will announce the names of the top four (4) Bars on September 5, 2017 by 2:59:59 pm ET

  2. Eligibility for voting:

    Only individuals who are twenty-one (21) years of age or older are eligible to vote in the Competition. Votes are limited to one (1) vote per person during any Phase, and the following individuals and members of their families (parents, grandparents, children, siblings, spouses) and immediate households (whether related or not) are not eligible for participation: employees, officers and directors of Sponsor and its parent, subsidiaries, and affiliated companies, employees, officers and directors of alcoholic beverage licensees licensed to sell alcoholic beverages for consumption on the licensed premises, and Sponsor’s advertising and promotional agencies.

  3. Prizes:

    Four (4) prizes will be awarded–one to each of the four (4) top-rated Bars. Each prize shall consist of a meet and greet with a professional soccer player at the Bar (an “Event”). Events will take place between 9/11/17 and 10/19/17. Sponsor will provide each winning Bar with up to four (4) options for the dates and times its Event can take place. The choice of date and time for an Event will be allocated to winners on a first-come, first-serve basis and the ultimate time and day will be chosen by the Sponsor at its sole discretion. Each winning Bar must have the ability to host the Event within its allotted time frame and Events cannot be rescheduled. Should a winning Bar not be able to host an Event within its allotted time frame, prize will be forfeited, and the Bar which has received the next highest number of votes during Phase 2 of the Competition will be chosen as an alternate winner. Prizes have no monetary value.

    Prizes are not transferable, are not redeemable for cash, and are subject to availability. No substitutions of prizes by winners are allowed, but Sponsor reserves the right to substitute a different prize at its sole discretion.

  4. License and release:

    All winners agree to allow Sponsor to use the names of their Bars and to film in their Bars for advertising and publicity purposes in connection with this Competition. This may include, but is not limited to, the publication of the name and photographs of the Bar as well as any photographs or videos of the winning Bar’s Event on Sponsor’s websites and/or social media pages. In addition, by submitting an entry and in consideration of the Sponsor granting each bar the right to enter the Competition, each Bar grants the Sponsor a perpetual, irrevocable royalty-free, non-exclusive, sub-licensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and exercise all copyright and publicity rights with respect to any materials contained in the entry (including but not limited to text, images or video materials) (the “Materials”) worldwide and/or to incorporate the Materials in other works in any media now known or later developed for the full term of any rights that may exist in the Materials. By allowing filming, each Bar represents and warrants that Sponsor and its assigns may use the images from inside the Bar without the need for any additional right or permission from any third party.

    By participating and/or accepting a prize, entrants and winners acknowledge and agree that this Competition is in no way sponsored, endorsed, or administered by, or associated with Facebook, and agree to release and hold harmless Facebook, Sponsor, Sponsor’s advertising and promotional agencies, and their respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers, and directors (“Released Parties”) from any and all liability for loss, harm, damage, injury, cost, or expense whatsoever, including, without limitation, property damage, personal injury, and/or death that may occur in connection with, preparation for, travel to, or participation in the Competition, or participation in, possession, acceptance, and/or use or misuse of any prize or participation in any Competition-related activity, including, but not limited to, any claims based on publicity rights, defamation or invasion of privacy. Sponsor shall not be responsible for any cancellations, delays, diversions, substitutions, or omissions whatsoever by any sporting organizations, and/or any other persons providing any services to winner, including any results thereof, such as changes in services or location necessitated by same. Sponsor is not responsible if any part of a Competition prize cannot be awarded due to acts of God, acts of war, natural disasters, weather, or acts of terrorism. Sponsor shall not be liable for any loss or damage to personal belongings. Entrants who do not comply with these Official Rules or who attempt to interfere with this Competition in any way shall be disqualified at the Sponsor’s sole discretion.

  5. Additional terms:

    The decisions of Sponsor on all matters relating to this Competition shall be final and no promotional correspondence or discussion will be entered into. Sponsor reserves the right in its discretion: (a) to disqualify any claimant, competitor or nominee whose conduct is contrary to the letter of spirit of the rules or the intention of the Competition and to declare as void any or all of their claims or entries based on such conduct; (b) to declare as void any claims or entries resulting from any printing, production and/or distribution errors (including but not limited to any error(s) on any website of the Sponsor, and/or other printed materials) or where there has been error(s) in any aspect of the preparation for or conduct of the promotion materially affecting the result of the Competition or the number of claimants or the value of claims; (c) to add to or to waive any rules on reasonable notice; and/or (d) to cancel the Competition or any part of it at any stage.

    To the fullest extent permitted by law the Sponsor hereby disclaims all warranties, representations, covenants and liabilities (whether express or implied) relating to this Competition and/or any prize.

    Nothing in these terms and conditions shall exclude the Sponsor’s liability for: (i) death or personal injury as a result of its negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any liability that cannot be limited or excluded by law.

    Sponsor reserves the right, in its sole discretion, to modify, suspend or cancel the Competition should virus, bugs, tampering, fraud or other causes beyond the reasonable control of the Sponsor corrupt or hinder the administration, security or proper execution of the Competition.

    If any of the provisions of these terms and conditions are held to be invalid or unenforceable in whole or in part that part shall be severed from the remainder of the provisions and the validity of the other provisions and the remainder of the provision in question shall not be affected.

    Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Headings are solely for convenience and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof.

    Caution: Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Competition may be a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.

    In no event will the released parties be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential, or punitive damages arising out of entrant’s access to, and use of, the websites and/or this competition, or entrant’s downloading from and/or printing material downloaded from any websites associated with the competition.

  6. Disputes and governing law:

    The parties waive all rights to trial in any action or proceeding instituted in connection with these Official Rules, including, without limitation, the Competition. Any controversy or claim arising out of, or relating to, these Official Rules and/or the Competition shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in New York City, New York.

    These official rules and the interpretation of its terms shall be governed by, and construed in accordance with, the laws of the state of new york without regard to its conflicts of laws and rules. For any matters that are not subject to arbitration as set forth in these Official Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Official Rules and/or the Competition, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to New York City, New York. The parties agree not to raise the defense of forum non conveniens.

  7. Use of data:

    Sponsor will be collecting information online, in accordance with its Privacy & Cookie Policy. Please review Sponsor’s Privacy Policy which can be found at http://www.dailymailbestsoccerbar.com. By participating in the Competition, entrant hereby agrees to Sponsor’s collection and usage of personal information and acknowledges having read and accepted Sponsor’s Privacy & Cookie Policy. You are providing your information to Sponsor and not to Facebook.
